ACCEPTANCE OF TERMS

Welcome to Tax Seeds Inc (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our tax planning software application (the “Service” or “Platform”), whether accessed on web, mobile, or other devices.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1 Eligibility

You must be at least 18 and legally able to form a contract.

3.2 Account Registration

You agree to:

  • Provide accurate, complete information
  • Keep your details updated
  • Maintain confidentiality of credentials
  • Notify us of unauthorized access
  • Accept responsibility for actions under your Account

3.3 Account Security

You are responsible for protecting your login details.

3.4 One Account Per User

Accounts are individual unless explicitly allowed under an enterprise plan.

4. LICENSE GRANT AND RESTRICTIONS

4.1 Limited License

A non-exclusive, non-transferable, revocable license to use the Service for personal or internal business tax planning.

4.2 Restrictions

You agree not to:

  • Copy or modify the Service
  • Reverse engineer or attempt to access source code
  • Sell or sublicense the Service
  • Remove proprietary notices
  • Build competing services
  • Use bots or automated means
  • Interfere with performance
  • Upload malware
  • Use the Service for illegal purposes
  • Violate laws or third-party rights
  • Impersonate others
  • Send spam or unsolicited content

4.3 Reservation of Rights

All rights are reserved by the Company and its licensors.

5. INTELLECTUAL PROPERTY OWNERSHIP

All software, content, and materials are owned by the Company.

Tax Seeds Inc, TaxZero Club, and related marks are protected trademarks.

6. USER DATA AND PRIVACY

7. FEES AND PAYMENT

Subscriptions renew automatically unless canceled before the period ends.

7.4 Fee Changes

Fees exclude applicable taxes.

7.6 No Refunds

Fees are non-refundable except where legally required.

7.7 Late Payment

We may suspend access for overdue payments.

7.8 Disputes

Billing disputes must be submitted within 30 days.

8. CANCELLATION AND TERMINATION

8.1 Cancellation by You

You may cancel at any time; access continues until the end of your billing period.

8.2 Termination by Company

We may terminate for:

  • Fraud or illegal conduct
  • False information
  • Non-payment
  • Harmful behavior

8.3 Effect of Termination

Access ends immediately and data may be deleted. Fees remain owed through the termination date.

You should export your data before termination.

You are responsible for maintaining any required professional licenses.

14. DISPUTE RESOLUTION

14.2 Binding Arbitration

Disputes are resolved by binding arbitration in New York County.

14.3 Arbitration Terms

15. GOVERNING LAW AND VENUE

Terms are governed by New York State law. Legal actions must be filed in New York County courts unless resolved through arbitration.

  • No waiver of rights
  • Invalid provisions will be modified as needed
  • You may not assign rights without consent
  • Force majeure applies
  • Relationship is that of independent contractors
  • No third-party beneficiaries

A.2 Client Relationships

You are solely responsible for client agreements, confidentiality, conflict management, and fees.

A.3 Professional License

You confirm that you hold required licenses and remain in good standing.

A.4 Malpractice

We are not liable for malpractice or negligence claims arising from your professional services, even when using the Service.
